Marine Logic by growth.box
Terms of service
Last updated October 28, 2026
These Terms of Service (the “Terms”) are a binding agreement between growth.box LLC, doing business as Marine Logic (“Marine Logic”, “we”, “us” or “our”), 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, and the business that orders or uses Marine Logic (“you”, “your” or the “Customer”).
Please read these Terms carefully. Sections 20 to 22 limit our liability, and section 23 sets out how disputes are resolved, including a waiver of class actions and jury trials.
1. Accepting these Terms
1.1. You accept these Terms when you do any of the following: create an account at https://marinelogic.app/start (with Google or by email), tick the box when you choose your plan, sign an order form or proposal that refers to these Terms, pay an invoice, or use the Service. If you do not agree, do not order or use the Service.
1.2. If you accept for a company or other organization, you confirm that you have the authority to bind it, and “you” means that organization. If you do not have that authority, you may not accept these Terms or use the Service.
1.3. These Terms include our Privacy policy, our Acceptable use policy, our Cookie policy, the Data processing addendum in the appendix below, and every order you place (each an “Order”). If an Order and these Terms disagree, the Order wins, but only for the point it expressly covers. Any terms in your purchase orders, vendor portals or similar documents do not apply, even if we accept or sign them.
2. Definitions
- “Service”: the Marine Logic platform and everything we provide through it, including dealer websites, the dashboard, inventory management, listing feeds and channel sync, leads and client management, email hosting and the Inbox, text messaging, analytics, integrations, marketplaces, AI features, backups, support and any custom builds.
- “Account”: a dealership account on the Service, including any additional accounts that belong to you.
- “Users”: the people you or your admins invite into an Account, such as employees and contractors.
- “Customer Content”: everything you or your Users put into the Service, including listings, photos, prices, specifications, documents, texts, logos, blog posts and settings.
- “Customer Personal Data”: personal information about your customers, website visitors and other individuals that the Service processes for you, such as leads, clients, messages, saved searches and form submissions.
- “Customer Data”: Customer Content and Customer Personal Data together.
- “Third-Party Services”: services we do not control that work with the Service, such as Boats Group, Google, Meta, Stripe, Textbelt, AI model providers and your domain registrar.
3. Who may use the Service
3.1. The Service is for businesses that sell, broker, rent or service boats, engines, trailers and related products, and for their partners. You must use it for your trade or business and not as a consumer. Consumer protection laws that apply only to consumers do not apply to these Terms to the extent the law allows.
3.2. You and each User must be at least 18 years old.
3.3. You may not use the Service if you or your owners are located in a country under a comprehensive US embargo, or are named on a US government list of restricted parties. You must not use the Service in breach of US export control or sanctions laws.
4. Ordering and setup
4.1. You can sign up online at https://marinelogic.app/start and choose your plan in the dashboard, or order through an Order prepared with our team. Choosing a plan creates your Account and starts your subscription. An online sign-up starts with a free trial (section 4.2); an Order issues your first invoice at once. We may refuse or cancel any order before your first invoice is paid, for example if we cannot verify your business, and we refund anything you have paid for that order.
4.2. Free trial. An online sign-up starts with a free trial of 1 month. When you sign up, our payment processor, Stripe, checks your card with a temporary hold of $1. The hold is released right away and is not a charge. The check is required: the trial starts, and your website goes online, on the day your card passes it. Nothing is charged during the trial, and we email you before it ends. When the trial ends, the plan and add-ons you chose start, their first billing period is charged to your saved card (or invoiced, if no card is saved), and the subscription then renews under section 7.4. You can change your plan during the trial, or cancel from Billing in your dashboard before it ends, and then nothing is charged.
4.3. We may ask for information to verify your business, your identity or your right to list the units you advertise. You agree to give accurate information and keep it up to date.
5. Accounts, Users and security
5.1. Your admins invite Users and give them roles (such as Admin, Manager, Sales and Technics) and access to locations and teams. You are responsible for everything that happens in your Accounts, for your Users’ compliance with these Terms, and for removing access when someone leaves.
5.2. Keep passwords, two-step codes and sign-in links confidential, and use strong, unique passwords. If you sign in with Google, the security of that Google account is your responsibility. Tell us at once at support@marinelogic.app if you suspect that someone has accessed an Account without permission.
5.3. Access by our team. Our authorized staff can access your Accounts to provide support, set up and maintain the Service, investigate abuse, fix problems and meet legal requirements. Each such access is recorded in an audit log. We limit this access to what the task needs.
5.4. Accounts are for one dealership group. You may not resell, sublicense or share access to the Service with another business, except additional accounts that belong to you under your plan.
6. Plans, limits and allowances
6.1. Our plans, what each includes, and their prices are shown at https://marinelogic.app/pricing and in your Order. Some features are available only on certain plans.
6.2. Plans include limits and allowances, such as the number of published listings per inventory type, additional accounts, storage, mailboxes, text messages per month and AI usage. Current allowances are shown in your dashboard. If you reach a limit, the Service may stop new publishing, sending or processing until you buy more, upgrade or fall back under the limit. Lowering a limit never deletes or unpublishes your content.
6.3. You may buy add-ons such as extra listings and additional accounts. Add-ons follow the billing period and renewal of your plan.
6.4. Fair use. Allowances are for normal use of a dealership. We may limit or throttle use that puts unreasonable load on the Service or harms other customers, and we will contact you first where we reasonably can.
7. Fees, billing and taxes
7.1. Fees. You agree to pay the fees in your Order or, if none are stated, our list prices when you order. Fees are in US dollars and do not include taxes.
7.2. Billing in advance. Plans and add-ons are billed in advance, monthly or yearly. A yearly plan costs 20% less than twelve monthly payments. Any setup fee in your Order is billed once on your first invoice.
7.3. Payment. Invoices are due within 15 days of their date unless your Order says otherwise. If you save a card or bank account, you authorize us and our payment processor, Stripe, to charge it automatically for each invoice when it is issued, including renewals, add-ons and prorated changes, until you remove the payment method or cancel. You may also pay by ACH, wire or check where we agree to it. We do not see or store your full card or bank account number.
7.4. Automatic renewal. Your subscription renews automatically at the end of each billing period for the same length of period, at the prices then in effect for your plan, until it is cancelled under section 8.
7.5. Changes to your plan. A bigger plan or more add-ons apply at once, and the rest of the current period is invoiced at the difference. A smaller plan, fewer add-ons or a different billing period apply from your next renewal.
7.6. Late payment. If an invoice is not paid on time, we send reminders. If it stays unpaid 30 days after its due date, we may pause your websites and feeds (section 16) until it is paid. We may also charge interest on overdue amounts at 1.5% per month or the highest rate the law allows, whichever is lower, and recover reasonable costs of collection.
7.7. Taxes. You are responsible for all sales, use, value-added, goods and services and similar taxes on your purchases, except taxes on our income. Where we must collect a tax, we add it to your invoice. If you claim an exemption, give us a valid certificate.
7.8. Invoice disputes. If you think an invoice is wrong, tell us in writing within 30 days of its date and pay any part that is not disputed. We will work with you in good faith to resolve it. Please contact us before disputing a charge with your bank or card issuer. A chargeback for an amount you owe is a breach of these Terms.
7.9. Price changes. We may change our prices for future billing periods. We tell you by email at least 30 days in advance, and the new price applies from your first renewal after that notice. If you do not agree, you can cancel before that renewal.
8. Cancellation and refunds
8.1. Cancelling. You can cancel at any time from Billing in your dashboard, through a support ticket, or by writing to support@marinelogic.app. Cancellation stops the next renewal; cancelling during a free trial means the plan never starts and nothing is charged. Your websites and feeds keep running until the end of the period you have already paid for, and then they go offline.
8.2. Refunds.
- Monthly plans: a month that has started is not refunded.
- Yearly plans: if you cancel within 14 days of the first payment of your first yearly term, we refund that payment in full. After that, the plan runs to the end of the paid year and the remaining months are not refunded. Renewals are not covered by the 14-day refund.
- Setup fees and custom work pay for work we do for you and are not refunded once that work has started, unless your Order says otherwise.
- Add-ons and upgrades are not refunded for the part of a period already started.
8.3. We always refund a payment charged twice or by mistake; any prepaid period not yet used if we close your Account for convenience under section 17.2; and any prepaid period not yet used if we remove a feature that is central to your plan and you cancel because of it within 30 days.
8.4. Refunds go back to the original payment method, usually within 5 to 10 business days. Except as stated in this section or required by law, fees are non-cancellable and non-refundable.
9. Your content and data
9.1. You own your data. As between you and us, you keep all rights in Customer Data.
9.2. License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, back up, process, transmit, resize, format, translate, display and publish Customer Data, during the term and any export or deletion period, only to provide, secure, support and improve the Service for you, and as these Terms otherwise allow. This includes publishing your websites, sending your inventory to the channels and marketplaces you use (sections 10 and 11), sending the emails, texts and social posts you ask for, and generating the AI content you switch on (section 13).
9.3. Your responsibility. You confirm that you have all the rights, licenses and permissions needed for Customer Data and for us to use it as these Terms describe, including the rights to every photo, video, logo, manufacturer image and specification you upload. You are responsible for the accuracy, quality and legality of Customer Data, including prices, fees, availability, specifications, hours of use, condition, title status and location of every unit you list, and for keeping sold or unavailable units marked as such.
9.4. Customer Personal Data. For Customer Personal Data you are the business (or controller) that decides how it is used, and we are your service provider (or processor). The Data processing addendum in the appendix applies to it. You are responsible for giving your customers and visitors the privacy notices the law requires, including a privacy policy on your website, and for having a lawful basis and any consent needed to collect their data and contact them.
9.5. Data you must not put into the Service. The Service is not built to store highly sensitive data. Do not upload or ask customers to submit Social Security numbers, driver’s license or passport numbers, full payment card numbers, bank account numbers, health information, or credit reports, except where a feature of the Service is clearly designed for that data. You are responsible for any such data you put into the Service in breach of this section. If your business is subject to the FTC Safeguards Rule or similar rules (for example because you arrange financing), you remain responsible for your own compliance program.
9.6. Aggregated and usage data. We may collect and use information about how the Service is used, and data derived from Customer Data that is aggregated and de-identified so it does not identify you, your customers or any individual, to operate, secure, analyze, benchmark and improve the Service. We will not publish it in a way that identifies you or any individual.
9.7. Feedback. If you send us ideas or suggestions, we may use them freely without any obligation to you.
9.8. Customer reference. We may name you, and show your logo and a link to your website, as a Marine Logic customer on our website and in sales materials. You can ask us to stop at any time by writing to support@marinelogic.app.
10. Channels, integrations and other Third-Party Services
10.1. The Service can send your inventory and content to Third-Party Services you switch on, such as Boats Group (YachtWorld, Boat Trader, boats.com), Google Merchant Center, Facebook and Instagram, and can place the Google Analytics, Google Ads, Meta Pixel and site verification codes you add on your websites.
10.2. When you connect a Third-Party Service, you authorize us to access it on your behalf with the permissions you approve, and to send it the Customer Data needed to work. You can disconnect at any time from your dashboard. If you add tracking codes, you are responsible for using those tools lawfully and for describing them in your website’s privacy policy. The Service loads them only after a visitor accepts your site’s cookie banner; do not work around it.
10.3. Each Third-Party Service has its own terms, policies, fees and approval processes, and you may need your own account or agreement with it. Your use of a Third-Party Service is between you and its provider. The provider, not Marine Logic, decides whether to accept, show, rank or remove your listings, posts or ads. We are not responsible for Third-Party Services, including their availability, accuracy, security, decisions, fees or changes to their rules or interfaces. If a Third-Party Service changes or stops working with the Service, we may change or stop the related feature without liability.
10.4. Marine Logic is the system of record for your inventory. Changes made directly on a channel can be overwritten by the next sync.
11. Marketplaces operated by Marine Logic
11.1. We operate marketplace websites, such as listed.boats, that show inventory from dealerships on Marine Logic in one place. Unless you tell us otherwise, your published listings may appear on these marketplaces with your dealership’s name, and each listing credits you and links back to your own website.
11.2. Inquiries sent about your listings on a marketplace are delivered to you as leads in your dashboard. We do not sell your leads to other dealers.
11.3. You can ask us to remove your listings from our marketplaces at any time by writing to support@marinelogic.app or through a support ticket. We remove them within a reasonable time, normally within 5 business days.
12. Email, text messages and marketing
12.1. Your messages, your responsibility. You decide what you send through the Service, including emails, campaigns, saved-search alerts, text messages and social posts, and to whom. You are the sender of these messages and are responsible for complying with every law that applies to them, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), state telemarketing and texting laws, Canada’s Anti-Spam Legislation (CASL), and the rules of carriers and messaging providers.
12.2. Text messages. You must have the consent the law requires before you text anyone, respect quiet hours and do-not-call rules, identify your business, and honor opt-outs immediately. The Service records STOP and similar replies and stops further texts to that number; you must not work around it. The Service does not send automated or bulk marketing texts, and you must not use it to do so. Texts are delivered through Textbelt and mobile carriers, and we do not guarantee that any text is delivered or delivered on time.
12.3. Email. Marketing emails must carry a working unsubscribe link and your business’s postal address, and you must honor unsubscribe requests. Saved-search alerts use double opt-in; do not remove or work around it. Do not send to purchased, rented or scraped lists.
12.4. Email hosting. If you use Marine Logic email, we host mailboxes on your domain. You are responsible for who gets a mailbox and for what is sent from it. We filter spam and malware and may block, quarantine or delay messages that look harmful. Mailbox storage, attachment size and sending volume are limited. We may suspend sending from a mailbox that is sending spam or harming our mail reputation. Email is not a backup service: keep your own copies of anything important.
12.5. Our emails to you. By using the Service you agree to receive service emails from us, such as invoices, security notices, lead notifications and changes to these Terms. Product news is sent only if you agree, and you can unsubscribe at any time.
13. AI features
13.1. Some features use artificial intelligence models provided by third parties, such as OpenAI, to generate content. For example, on every plan the AI Agent writes and updates blog posts and creates listing pages for search from the facts in your Account (inventory, dealership details, locations and existing posts).
13.2. AI output can be wrong. AI-generated content may be inaccurate, incomplete, out of date, or similar to content generated for others. You can choose whether the AI Agent’s work is published at once or waits for your review. You are responsible for reviewing AI output and for everything you publish, whichever setting you choose. Do not rely on AI output for legal, financial, safety or technical advice.
13.3. To generate content, we send the relevant Customer Content to the AI provider under its business terms. We set up requests so that providers do not store them where the provider offers that option. For the AI features available today we send business information and the team details published on your website, never leads, client details or messages, and we will update our Privacy policy before that changes.
13.4. As between you and us, once AI-generated content is published to your website it is Customer Content. We do not promise that AI output is protected by copyright or free of third-party rights.
13.5. AI usage is limited per Account each month. We may change AI models and providers at any time.
14. Domains and websites
14.1. You can use a free address under marinelogic.app or connect a domain you own. You remain the registrant of your domain and are responsible for renewing it, paying your registrar and setting up its DNS records as the Service shows. We are not responsible for problems caused by your registrar, your DNS settings or an expired domain.
14.2. Addresses under domains we own, including marinelogic.app and listed.boats, remain ours. If your Account ends, you have no right to keep using them.
14.3. SEO and results. We build websites and feeds to follow good search and marketplace practices, but we do not control search engines, channels or buyers. We do not guarantee any search ranking, traffic, number of leads, sales or other business result.
15. Custom builds and professional services
15.1. On Propel plans our team builds custom functions on request. We agree the scope and timing of each request with you in writing, for example in a support ticket. Estimates are not binding commitments.
15.2. Custom functions remain part of the Service. You can use them while you subscribe, and we keep all rights in them. We may offer similar functions to other customers, but we never share your confidential information or Customer Data with them.
16. Suspension
16.1. We may suspend all or part of the Service, or remove specific content, if (a) an invoice is more than 30 days overdue; (b) you or your Users breach section 12, section 9.5 or our Acceptable use policy; (c) your use creates a security risk, may harm the Service, other customers or the public, or may expose us to legal liability; or (d) the law or a court, regulator or Third-Party Service requires it.
16.2. We give you notice and a chance to fix the problem first where reasonable. Where the risk is urgent, for example a phishing page or a spam run, we may act first and tell you right after. We restore the Service once the reason for the suspension is resolved.
16.3. While your websites are paused, your dashboard stays available so you can pay, read invoices, export your data and reach support. Fees remain due during a suspension caused by you.
17. Term and termination
17.1. These Terms apply from the moment you accept them until every subscription has ended and your data has been deleted under section 17.5.
17.2. By us for convenience. We may stop providing the Service to you for any reason by giving you at least 60 days’ notice, and we refund any prepaid fees for the period after the Service ends.
17.3. For breach. Either party may end these Terms by written notice if the other party materially breaches them and does not fix the breach within 30 days of being told about it (10 days for unpaid fees), or immediately if the other party becomes insolvent or stops doing business. We may also end them immediately for a serious or repeated breach of section 12 or the Acceptable use policy.
17.4. What happens at the end. When your subscription ends, your right to use the Service ends, your websites and feeds go offline, your listings are removed from our marketplaces, and any unpaid fees become due at once.
17.5. Your data at the end. You can export your inventory and leads as CSV at any time before your Account ends. On request made within 30 days after it ends, we give you reasonable help to export your data. We delete Customer Data from the live Service within 90 days after your Account ends. Copies in our backups are deleted as the backups expire, within 6 months. We may keep records the law requires us to keep, such as invoices and tax records, and information needed to resolve disputes or enforce these Terms.
17.6. Sections 7 (for fees owed), 9.6, 9.7, 17.4 to 17.6, and 18 to 24 survive the end of these Terms.
18. Confidentiality
18.1. “Confidential Information” means non-public information that one party shares with the other and that is marked confidential or that a reasonable person would understand to be confidential, including Customer Data, our software, pricing in your Order and our security practices. It does not include information that is or becomes public through no fault of the receiving party, that the receiving party already knew or developed independently, or that it received from someone else without a duty of confidentiality.
18.2. Each party will use the other’s Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with its employees, contractors and service providers who need it and are bound by similar duties. A party may disclose Confidential Information where the law requires, after giving the other party notice where it is allowed.
19. Intellectual property
19.1. The Service, its software, themes, templates, designs, field sets, documentation and the Marine Logic and growth.box names and logos are owned by us or our licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, we keep all rights in them.
19.2. During your subscription, we grant you a limited, non-exclusive, non-transferable right for your Users to use the Service for your internal business purposes, in line with these Terms.
19.3. You must not, and must not allow anyone to: copy, modify or create derivative works of the Service; reverse engineer, decompile or try to extract its source code, except where the law expressly allows it; scrape it or access it by automated means except through features we provide for that; use it to build a competing product; remove any proprietary notices; or test its security without our written permission.
19.4. Open-source components in the Service are licensed under their own licenses, which prevail for those components.
20. Warranties and disclaimers
20.1. Each party confirms that it has the authority to enter into these Terms. We will provide the Service with reasonable skill and care, and in line with the security measures described in the appendix.
20.2. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE FULLEST EXTENT ALLOWED BY LAW, THE SERVICE, AI OUTPUT, THIRD-PARTY SERVICES AND EVERYTHING WE PROVIDE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE OR SECURE, THAT ANY MESSAGE OR FEED WILL BE DELIVERED OR ACCEPTED, THAT BACKUPS WILL BE COMPLETE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.
20.3. We work to keep the Service available and carry out maintenance outside US business hours where we can, but we do not promise any particular level of availability unless your Order includes a service level commitment. Our backups exist to protect the Service. They do not replace your own records.
21. Indemnification
21.1. You will defend us, our affiliates and our and their officers, employees and contractors against any claim, demand, investigation or proceeding brought by a third party (including a regulator) arising out of (a) Customer Data, including a claim that it infringes someone’s rights or that a listing was inaccurate; (b) messages sent from your Accounts, including claims under the TCPA, CAN-SPAM or similar laws; (c) your use of Third-Party Services; (d) the vehicles, vessels, products and services you sell, finance, rent or service; or (e) your or your Users’ breach of these Terms or the law. You will pay any damages, fines, settlements and reasonable legal fees that result.
21.2. We will tell you promptly about a claim, let you control its defense and settlement (but you may not settle a claim in a way that admits fault for us or imposes obligations on us without our written consent), and give you reasonable help at your expense. We may take part in the defense with our own lawyers at our own cost.
22. Limitation of liability
22.1. TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, LEADS, GOODWILL OR DATA, OR THE COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF IT WAS TOLD THEY WERE POSSIBLE.
22.2. TO THE FULLEST EXTENT ALLOWED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE LIABILITY.
22.3. The limits in this section do not apply to your obligation to pay fees, your obligations under section 21, or either party’s liability for fraud, gross negligence or wilful misconduct, or any liability that cannot be limited by law.
22.4. These limits are an essential part of the bargain between the parties and reflect the prices we charge. They apply even if a remedy fails of its essential purpose.
23. Law and disputes
23.1. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23.2. Talk to us first. Before starting any proceeding, the party with a complaint will send the other a written notice describing it, and both will try in good faith to resolve it for 30 days.
23.3. If the dispute is not resolved, it will be decided exclusively by the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming, and each party agrees to the personal jurisdiction of those courts. Either party may seek urgent injunctive relief in any competent court to protect its intellectual property or Confidential Information.
23.4. No class actions and no jury. To the extent the law allows, each party may bring claims against the other only in its individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding, and each party waives its right to a trial by jury.
23.5. Any claim must be brought within one year after the claim arose, except claims for unpaid fees, or the claim is permanently barred, to the extent the law allows.
24. General
24.1. Changes to the Service. We improve the Service over time and may add, change or remove features. We will not materially reduce the core functionality of your plan during a paid period, except where required by law, security or a Third-Party Service, in which case section 8.3 applies.
24.2. Changes to these Terms. We may update these Terms. We tell you about material changes by email or in your dashboard at least 30 days before they take effect, except changes required by law or for new features, which may take effect sooner. If you keep using the Service after the effective date, the new Terms apply. If you do not agree, you can cancel before then, and we will refund any prepaid fees for the period after that date if the change materially harms you. The date at the top shows the current version.
24.3. Notices. We send notices to the billing or admin email in your Account. You send notices to support@marinelogic.app. Email notices are received when sent, unless the sender gets an error message.
24.4. Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, with notice to you, to an affiliate or to a successor in a merger, acquisition or sale of all or part of our business. These Terms bind and benefit the parties and their permitted successors.
24.5. Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, storms, epidemics, war, terrorism, labor disputes, government action, failures of the internet, power, hosting providers or Third-Party Services, or cyberattacks, other than a failure to pay fees.
24.6. Independent contractors. The parties are independent contractors. These Terms create no partnership, franchise, joint venture, agency or employment relationship.
24.7. Entire agreement. These Terms and your Orders are the entire agreement between the parties about the Service and replace all earlier proposals and agreements about it. Nothing in our marketing materials changes them.
24.8. Severability and waiver. If a court finds part of these Terms unenforceable, that part is changed to the minimum extent needed to make it enforceable and the rest stays in effect. Not enforcing a right is not a waiver of it.
24.9. Electronic agreement. You agree that accepting these Terms online, and receiving invoices and notices electronically, has the same effect as a signed paper agreement.
24.10. No third-party beneficiaries. No one other than the parties has rights under these Terms, except the people protected by section 21.
24.11. Headings and words. Headings are for convenience only. “Including” means “including without limitation”.

Appendix: Data processing addendum
This addendum (“DPA”) applies when we process Customer Personal Data for you. If it conflicts with the rest of the Terms, this DPA wins for Customer Personal Data.
A1. Roles and instructions. You are the business (controller) and we are your service provider (processor). We process Customer Personal Data only to provide the Service, on your documented instructions. These Terms, your settings and your use of the Service are your instructions. We tell you if we believe an instruction breaks the law.
A2. What we process. Categories of individuals: your website visitors, leads, clients, people who message or text you, people who save searches or submit forms, and your Users. Types of data: contact details (name, email, phone, address), inquiry and form content (such as boat of interest, trade-in details, preferred dates, offer amount, financing preferences), messages and attachments, saved searches and alert preferences, opt-out status, and pseudonymous website usage data. Duration: the term of the Terms plus the deletion period in section 17.5.
A3. US state privacy laws. We act as your “service provider” or “processor” under the California Consumer Privacy Act and other US state privacy laws. We will not: sell or share Customer Personal Data (as those laws define the terms); retain, use or disclose it for any purpose other than the business purposes set out in these Terms, or outside our direct business relationship with you; or combine it with personal data we receive from or on behalf of others, except as those laws allow. We will comply with those laws, provide the same level of privacy protection they require, and notify you if we can no longer meet our obligations under them. You may take reasonable steps to stop and fix unauthorized use of Customer Personal Data.
A4. Confidentiality. Everyone we authorize to process Customer Personal Data is bound by confidentiality obligations.
A5. Security. We maintain reasonable technical and organizational measures to protect Customer Personal Data, including encryption in transit, encryption of stored credentials and access tokens, hashed passwords, separation of each dealership’s data at the database level, role-based access, two-step sign-in for our staff, audit logs of staff access and important changes, regular backups and timely security updates.
A6. Subprocessors. You authorize us to use subprocessors to provide the Service, including: our server hosting provider (servers and storage); Cloudflare (DNS); Backblaze (encrypted backups); Stripe (payments); Textbelt (text messages); AI model providers such as OpenAI (AI features, which today receive only business information and the team details published on your website, never leads, clients or messages); and Google and Meta when you connect them or add their codes. We impose data protection obligations on each subprocessor that are at least as protective as this DPA, and we remain responsible for them. We give notice of new subprocessors by updating our Privacy policy before they process Customer Personal Data. You may object on reasonable data protection grounds within 30 days, and if we cannot address your objection, you may cancel the affected part of the Service and receive a refund of prepaid fees for it.
A7. Helping you. Taking into account the nature of the processing, we help you respond to requests from individuals to exercise their privacy rights, mainly through features of the Service that let you view, correct, export and delete their data. If we receive such a request directly, we refer the person to you. We also give you reasonable help with data protection assessments and with regulators.
A8. Security incidents. If we become aware of a breach of security leading to unauthorized access to, or loss, alteration or disclosure of, Customer Personal Data, we notify you without undue delay, and where feasible within 72 hours, with the information we have and as it becomes available. We take reasonable steps to contain and fix it. You are responsible for any notices to individuals or regulators that the law requires of you, and we help you with them.
A9. Deletion. When your Account ends, we delete Customer Personal Data as described in section 17.5, unless the law requires us to keep it.
A10. Information and audits. On written request, no more than once a year, we answer reasonable written questions about our data protection practices and give you information needed to show compliance with this DPA. Any on-site audit needs our agreement on scope, timing and cost, and is subject to confidentiality.
A11. International data. We are based in the United States, and data may be stored and processed in the United States and in other countries where we or our subprocessors operate. If the law of another country requires safeguards for transfers of Customer Personal Data, such as the EU Standard Contractual Clauses or the UK addendum, we will agree them with you on request.
